These Terms of Service ("Terms") form a binding agreement between you and Idenfy, Inc. ("Idenfy," "we," or "us") regarding your use of our website, platform, and all associated services ("Services"). By signing up, logging in, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. What We Provide

Idenfy offers tools for digital security awareness, including open-source intelligence (OSINT) lookups, dark web monitoring, surveillance alerts, and breach detection. The exact features available to you depend on your subscription tier. We may change, add, or remove features at any time without prior notice.

3. Who Can Use the Services

You must be at least 18 years old and capable of entering into a legally binding contract. By using the Services, you represent that you meet these requirements. If you are using Idenfy on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Terms.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide truthful and complete information when registering and to keep that information up to date. Notify us immediately if you believe your account has been compromised.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with our Acceptable Use Policy. Any violation may result in immediate suspension or termination of your account.

6. Data You Submit

Any information you upload, input, or transmit through the Services remains your property. By using the Services, you grant us a limited license to store, process, and analyze that data solely for the purpose of delivering the functionality you request. We will not use your data to train AI models or share it with unrelated third parties.

7. Subscriptions, Payments, and Refunds

Certain features require a paid subscription or the purchase of credits. All payments are processed by our third-party provider, LemonSqueezy. By subscribing or purchasing credits, you authorize us to charge your selected payment method. Subscriptions renew automatically unless you cancel before the renewal date.

We offer a 30-day money-back guarantee for first-time subscribers. If you are unsatisfied for any reason, contact us within 30 days of your initial purchase for a full refund of subscription fees. Credits and one-time purchases are non-refundable except in cases of billing error.

8. Intellectual Property

All software, designs, text, graphics, and other materials made available through the Services are owned by Idenfy or our licensors and are protected by copyright and other intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. While we strive for accuracy, we cannot guarantee that search results, breach data, or monitoring alerts will be complete, error-free, or continuously available. We disclaim all warranties, express or implied, to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Idenfy shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services. Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Idenfy and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may close your account at any time through your account settings. We may suspend or terminate your access without notice if you violate these Terms or engage in conduct that we determine to be harmful to the platform or other users. Upon termination, all licenses granted to you will cease, and you must stop using the Services.

13. Governing Law

These Terms are governed by the laws of Italy, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the courts of Italy.

14. Changes to These Terms

We may update these Terms from time to time. The most current version will always be available at this URL. If we make material changes, we will notify you through the Services or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Idenfy concerning the Services. If any provision is found to be invalid, the remaining provisions will remain in full force.
